I need a lawyer to provide the wording I need in the transfer of property for inclusion in H. M. Land Registry transfer forms. Basically, this will be to write some covenants.
In essence this is a simple transaction, I am transferring some land that I have registered in my own name to my own limited company. Once the transfer is completed my company will subdivide the land and sell individually each several lot.
Here in the UK, positive covenants are often hard to enforce in the long term. As I understand it, covenants must be to the benefit of the land transferred.... in some way. So, any covenant must be worded in such a way that it is in the ‘negative’, even though it has positive benefit to me is the transferor.
This is what I want to achieve: the retained land will provide for future road widening, layby's, underground services and access to the transferred land. The land transferred will subsequently be divided into a number of different lots. Each lot, which will subsequently be sold separately by the transferee, (my limited company), must keep all of the covenants. One of the covenants will be to make an annual payment towards the upkeep and management of the retained land, whilst there will only be one annual payment on the initial transfer of all the land, when the land is subsequently divided by my limited company and sold off, I need the wording of the covenant that will be used in order to get a proportional payment from each individual landowner, even though the initial transfer was for a larger annual payment. In addition to this, the annual payment must be index linked to inflation and effectively worded thus.
The wording of these covenants, must be very concise, clear and exact. Please do not bid for this contact if you cannot write in ‘good legal English’.
