I resigned as a designated partner of an LLP, served the full 90-day notice ending 6 May, but my exit is still stalled. The remaining partner has not filed Forms 3 and 4 and is now insisting that I open a new bank account—an obligation I believe goes beyond what the LLP Agreement or law requires. I need a Delhi-based corporate lawyer who can step in immediately to resolve this dispute over our respective legal obligations, represent me in all communications, and ensure my name is removed from every statutory record so I am free of further liability. Familiarity with the LLP Act, ROC procedures, and partner-level negotiations is essential. Deliverables • Written legal opinion setting out my position and next steps • Drafting and, if still required, electronic filing of Forms 3 and 4 with proof of submission • Formal notice or correspondence to the remaining partner—and to the bank, if needed—clarifying my obligations and demanding compliance • Ongoing status updates until ROC acknowledgement or another officially accepted proof of cessation is obtained Acceptance criteria: ROC acknowledgement (or equivalent documentary evidence) confirming my cessation as partner and written closure of all partner-level disputes. Please share your relevant experience with LLP exits in Delhi and an estimated timeline to complete each deliverable.

Hello, I have worked on similar LLP partner resignation, ROC compliance, and corporate governance matters before and can help with this. Based on your project description, I understand that the main priority is resolving the dispute surrounding your resignation as a designated partner after completion of the contractual notice period and securing formal recognition of your cessation in the statutory records. I can assist in reviewing the LLP Agreement, resignation records, correspondence between partners, ROC filings, and applicable provisions of the LLP Act to assess obligations, identify compliance gaps, and prepare the necessary legal and procedural documentation. I am comfortable preparing professionally structured legal opinions, partner-level correspondence, compliance reviews, legal notices, ROC filing support documentation, and dispute-resolution strategies while maintaining accuracy and attention to detail. Having reviewed and drafted 500+ legal and corporate documents, I understand the importance of achieving a clean and documented exit while minimizing future exposure to regulatory and commercial liabilities. I would be glad to discuss the matter further and work with you on this.

Dear Sir, Your LLP exit should not remain stalled simply because the remaining partner has failed to complete post-resignation compliances. Based on the facts shared, the key issue is establishing your legal cessation and protecting you from any continuing liability. I am a corporate lawyer with substantial experience in LLP compliance, partner disputes, contractual exits, ROC filings, and business separation matters. I will review the LLP Agreement, resignation records, ROC status, and correspondence to provide a clear legal opinion on your rights, obligations, and the most effective path to closure. I can draft and handle all formal communications with the remaining partner, coordinate Forms 3 and 4 filing requirements where legally necessary, engage with the bank if required, and pursue the matter until documentary proof of cessation is secured. My focus is not merely filing forms but achieving the outcome you actually need—written evidence confirming your exit and freedom from future partner-level liability. To make this risk-free, if I cannot provide the legal opinion and action plan within the agreed timeline, I will continue working without additional professional fees until those deliverables are completed. Upon receiving the documents, I can complete the initial legal assessment within 24-48 hours and commence action immediately thereafter. Regards, JD I can start immediately.

Hi, Failure to file Form 4 after your resignation on May 6th, leaves you exposed to ongoing statutory liabilities on the MCA portal. The remaining partner's demand to open a new bank account is legally extraneous to standard cessation protocols under the LLP Act, 2008. As a Delhi-based corporate law firm, Paradox Legal specializes in corporate governance, partner-level disputes, and Registrar of Companies (RoC) compliance. Our approach combines sharp dispute resolution mechanics with deep corporate secretarial expertise, making us uniquely equipped to handle the stubborn deadlock with your remaining partner and clear your name from the RoC records. Our Streamlined Timeline & Deliverables: Days 1–2 (Opinion & Notice): We deliver the written legal opinion and issue an immediate demand notice to the remaining partner and bank, freezing your post-May 6 liability. Days 3–5 (MCA/RoC Filing): We draft Forms 3 and 4. If the partner remains non-cooperative, we leverage Section 24 of the LLP Act to file a direct cessation notification with the RoC. Ongoing (Cessation Proof): We track the MCA portal until final RoC acknowledgment or alternate official proof of cessation is secured. Let’s connect today to review your LLP agreement and initiate the intake. Regards, Tanisha Kaushal Founder, Paradox Legal
