Monthly Subsciption Supply contracts

Industry – therapeutic goods/pharmaceutical wholesale:

- Business concept:

High Performance Practice has a core mission to improve the competitive position of alternative health practitioners against pharmacies and supermarkets, through leveraging their expertise and improving their accessibility to the market via eCommerce, and logistic platforms.

This will be achieved through the implementation of a Patient Direct Logistics Platform, that allows product to be sold from the practitioners website and delivered direct to the patients front door or place of work. This platform will also allow the establishment of supplement subscriptions, set for regular delivery and charged to the patient’s credit card.

- The nuts and bolts - some detail on how the agreement will operate:

A practitioner will sign a patient up through our online portal for one or more of a number of subscription options. Our system will produce a simple supply contract outlining the terms of the routine delivery of supplements (monthly or bi-monthly) to the patients home or work. I would like this agreement to be between the practitioner and the patient. From here, High Performance Practice (HPP) will handle the entire work flow, including charging the patient credit card and maintaining the deliveries, delivery issues, returns etc. Every time the customer is charged the practitioner will received a 30% margin via bank transfer. Payment cycles will be fixed and monthly irrespective of when the customer has been charged.

I think of it like this – the practitioner is outsourcing their warehousing, distribution and transacting to HPP. (Emphasis on it being their service, so I will need the agreement worded as an appointment from them to us)

Work Requirements:

I need 2 supply agreements:

a) supply agreement between HPP and the practitioner

b) supply agreement between the practitioner and the patient

KEY POINTS OF EACH:

a) High Performance Practice and practitioner:

- No Fixed Term

- No cancellation fee

a) Confidentiality commitment – Key Client concern

• Give assurance to the practitioner that their patient databases will be kept private, and under no circumstances will that information be shared with anyone without prior written consent from them.

Patient returns:

- A patient may return the product to our warehouse within 15 days for a full refund or exchange. Practitioner will be clawed back the income received for the refunded item, High Performance practice will carry the delivery expense.

Exclusions

• I want to retain the ability to share financial information about the performance of their practice with regard to my products.

Practitioner and Patient:

- No Fixed Term

- No cancellation fee

- Regularity of deliveries may vary from product to product (dependent on dosage)

Returns

- Products may be returned for a full refund no later than 15 days from delivery.

I realize this is not a great deal of detail, but should i hope give you an indication of the scope of work.

Please can you provide a rough quote for the above agreements, and or advise if you are able to engage the above. An estimate on time would also be much appreciated.
